In this report, the Hennick Centre and Sustainalytics recommend that the OSC clarify existing disclosure obligations to indicate the need to consider the materiality of social issues to investors' decisions and long-term corporate performance. In this paper, I will discuss some of the paradoxical characteristics of the traditional discourse on CSR and human rights obligations, which in the context of globalization emphasize the need for a structural reformulation of it. I will then analyze the United Nations (UN) attempt to submit to international debate the issue of the hypothetical human rights obligations of TNCs. Finally, I will argue that the European Union (EU) is an excellent example of how a joint effort to address the problem – involving (1.) the civil society, (2.) EU and member-states officials and (3.) the European business community – can have a direct impact on EU official policy.
